“Naftogaz of Ukraine” believes that the selection of candidates for the post of Chairman of the Board of PJSC “Ukrnafta” did not meet the standards of corporate governance.
“The Board of” Naftogaz of Ukraine ” believes that the process of selection of candidates for the post of Chairman of the Board of PJSC “Ukrnafta” does not meet the high standards of corporate governance. The initial selection of candidates for the position of Chairman of the Ukrnafta management Board carried out an international recruitment Agency that made long – and shortlist candidates. However, the Committee on appointments of the Supervisory Board at its discretion has identified a list of candidates favorites to include in this list of persons, in particular, had undergone any evaluation and was not recommended by the headhunters, ” – said in the message.
In addition, the list included the “candidate” supposedly recommended by Naftogaz, while Naftogaz itself on such a recommendation knew nothing.
As a result, the nominating Committee, the majority of whom are independent Directors, decided to terminate the competition and to appoint the Chairman of the Board Oleg géza, who was the acting Chairman of the management Board of Ukrnafta.
“In my opinion, in the circumstances, it was the right decision. Having doubts about the proper organization of the competition and, as a consequence, its effectiveness, made no sense to continue it. The continuation would only lead to escalation of potential conflict within the company that didn’t exactly fit her interests at the time as my task as a member of the Supervisory Board – to do everything possible to support the effective operations of the company “, – commented the Director of legal Affairs of Naftogaz of Ukraine Yaroslav Teklyuk.
He added that the question put to the vote of the Supervisory Board by the nominating Committee, was worded as follows: “to Stop the Contest in connection with a change in the current economic situation and in connection with the termination of the Contest to elect to the office of Chairman of the Board of OJSC “Ukrnafta” Geza Oleg Valentinovich”.
“This decision is aimed at maintaining operating activities and, as Oleg GEZ on the date of the meeting was the acting Chairman of the Board, it essentially retained the status quo,” concluded Teklyuk.
As reported, the Supervisory Board of PJSC “Ukrnafta” may 20, 2020, was elected Chairman of the Board Oleg Geza, who since may 1, 2019, led the company in the status of acting.
Cancelled the competition was announced in February 2020.
